So much for Nicko remaining a member of the band

Nicko was removed as a "designated member" of Iron Maiden LLP. However his holding company, N McBrain Holdings Limited, was not terminated.

According to the 2024 filing, the "designated members" do the following: hold office, serve on the board, reviewing the LLC's activities and directing the group's business activities."

So what this is saying is that Nicko no longer directs business activities. He isn't part of the planning of the band. He cannot vote as part of the board. However, he can still be paid via his holding company (as I believe all band members are remunerated). They could also choose to add him as a regular member down the road if needed, but my guess is that the termination simply means he is no longer expected to vote officially on decisions.

That's all.

Further investigation of Iron Maiden Touring LLP shows that Nick was removed there, and in addition, the voting structure of Touring is reliant on there being a balance of power in the votes around the main LLP. So they have to remove him from both at the same time. N McBrain Holdings was never a part of Touring - seems the band members are directly paid through Touring. It notes that Touring is not required to remit any monies to the main LLP, so that makes sense.

bludbrutha’s post is a bit misleading because it suggests total severance, but Nicko’s holding company is still listed on Iron Maiden LLP as an active entity.

All maiden members have a holding company and we can’t overlook the obvious fact that Nicko still has a certified commercial relationship with Maiden.

It makes sense Nicko isn’t paid for Maiden on tour. That much is obvious.

For what it’s worth, I strongly doubt Simon would ever become a part owner of Maiden. Why bother? He has the gig of a lifetime and can be paid well as a contracted employee.
 
We discussed this in one of the other chats recently. Nicko is still part of other companies in the Maiden/Phantom group, just not Maiden LLP and the touring company.

I do think it would have an impact on rights where any new material is concerned, like a new studio album or a live album recorded after Nicko's retirement from touring, but it doesn't say much else.
 
Yes. Ultimately, I think an album is covered under their existing structure. The main LLP would receive the money from the album's sales and streams and distribute to the holding companies as it is seen fit. Likely, Nicko would get a percentage of those profits based on what, if anything, he did on the album. I expect all band renumeration is like that.

All this means is Nicko is no longer a voting member of the board. Which makes sense as he is no longer making critical decisions for the band.
 
Yes it is all public information available on CH. As far as we can tell though there appears to of been no alteration to share holdings (although I think this would only come out on the updated CS01?) unless more share capital had been issued? Some members agreeements give other members the right to buy out shares if they are sold/retire? My commercial law is very rusty......

I don't have the time to look at or scrutinise the historic division of shares as to who may have preference shares etc. Doubtless it is structured in the most tax efficient manner possible as Andy Taylor is an accountant!
 
I'd just like to add that, when I was 11 years old, I got this cool Iron Maiden tapestry. White design on black cloth. The design was the mummy Eddie in chains. At the bottom of the tapestry it read "Iron Maiden Holdings LLC" or something like that. I remember this because I thought this was the title of the artwork. Made sense, seeing as the chains were "holding" Eddie. So for years I thought "man, Iron Maiden Holdings is such a cool ass piece of art!" Or I'd see the picture somewhere else, like inside the Best of the Beast book and think "Oh awesome! A full color version of Iron Maiden Holdings!" This is how my 11 year old brain worked.

My little kid brain did this once. Family was on a trip and it was getting late so we pulled into a motel. Dad saw the neon sign and said "Shoot, no vacancy." We get back on the road and after a few moments I say "Dad, are we vacancy?" :facepalm:

I'm no accountant but I read through a few of the documents and it's likely any share changes will come with the yearly filing.

I read an interview with Steve where he said that someone has to be in the band for two album cycles to start receiving royalties from merchandising, etc.

If my memory serves me well the source is Kerrang! Magazine No. 306, dated on September 8, 1990. (I'm too lazy to look for my files)

I've spent enough time in or adjacent to the industry to know that you simply cannot take public statements like these at full face value. There are nearly always multiple sides to the story when this kind of major change occurs with high-profile artists. I'm not saying it means for certain that anything untoward happened, but acting like we know the whole story and that everything within the band must be unicorns and rainbows because of a press release on IM.com and some very public remarks is kinda asinine.

I have, and personally while I find Simon's drumming competent, I do not think he is the best choice for Maiden. To be clear, I bear him no ill will nor do I mean to diminish his past accomplishments - he's not a BAD drummer. However, Clive and Nicko were not simply "good enough" for Maiden - they were true trailblazers of the instrument and the genre (especially Nicko). But musical/artistic taste is highly subjective, so if there are people out there who think he's great for Maiden I completely understand that. My perspective as a nearly lifelong pro/semi-pro drummer is probably going to be different from your average fan.

Also, where is the disagreement? It is in nearly every comment section and forum thread relating to RFYL. Simon may have won over a large proportion of fans, but there are definitely plenty of folks out there who are decidedly not won over.

Maybe not, but I think it boils down to 1) the band being towards the tail end of their career and 2) Steve making a choice largely out of convenience and comfort rather than wanting to go through an extensive search or find someone who really pushes them into new territory artistically.
